M&A FactSheet: IAC acquires Angie’s List for $500M

IAC Acquires Angie's List - Tracxn M&A Factsheet

Angie’s List, a provider of consumer reviews for local services, will merge with IAC’s HomeAdvisor through a reverse merger estimated at $500M. HomeAdvisor is a home services marketplace and is the fastest growing division of IAC contributing 15% to the total revenues of the company. IAC will spin-off HomeAdvisor as a part of this transaction and the new listed company will be named ANGI Homeservices. (link)

Total addressable market for Local Services is estimated to be $800 billion and online service providers currently cater to only 10% of the market. The online market is expected to grow at 49% CAGR by 2021 driven by increasing consumer convenience and accessibility to on-the-go services. (report by Technavio)

Angie’s List has been under pressure from investors to explore a sale

  • Angie’s had rejected IAC’s all cash bid of $512M in Nov 2015 claiming that the offered price was too low and had opted to execute a turnaround strategy (quote by Company Management)
  • The company dropped its paid review model and adopted a freemium model to counter the offerings of traditional comps such as Yelp, and entry of new startups like Handy, Houzz etc. Online giants like Amazon and Facebook have also been making inroads in the market (quote by Scott Durchslag, CEO of Angie’s List)
  • Though membership increased by more than 400% over 2015-2016, aggressive marketing spend led to 100% increase in losses (note by Company Management)
  • Activist investors started publicly pushing Angie’s List to explore a merger as they started doubting the company’s survival on a standalone basis (quote by  Eric Semler, Managing Partner at TCS Capital Management)

HomeAdvisor has been acquiring companies as a part of its strategy to capture a larger share of the global market

The deal establishes ANGI Homeservices as one of the largest players in North America
